Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and OverlayThing ("OverlayThing", "we", "us"), governing your use of the OverlayThing service at overlaything.com, its subdomains, overlays, and related software (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility and accounts

  • You must be at least 13 years old and able to form a binding contract. If you are under the age of majority where you live, you may use the Service only with the involvement of a parent or guardian.
  • You access the Service by authorizing it through your Twitch account ("Login with Twitch"). You are responsible for activity under your account and for keeping your Twitch credentials secure.
  • You must provide accurate information and keep it current.
  • You are responsible for complying with Twitch's Terms of Service and Developer Agreement, and the terms of any other platform or integration you connect.

2. The Service

OverlayThing provides browser-source overlays, alerts, goals, statistics, a chatbot, loyalty and watch-time tracking, media requests, tip handling through PayPal, and related tools for streamers. Features may change, be added, or be removed over time.

3. Your content and your channel

"Your Content" means the configuration, text, media, commands, and other material you create or upload, and the channel and audience data processed through your account.

  • You retain ownership of Your Content.
  • You grant us a non-exclusive, worldwide license to host, process, transmit, and display Your Content solely to operate and provide the Service to you.
  • You are responsible for Your Content and for ensuring you have the rights to use it, including any third-party media, fonts, sounds, or images you add to overlays.

4. Your responsibilities as a channel operator

When you run OverlayThing on your channel, you act as the controller of your audience's data, and we act as your processor (see the Privacy Policy). You agree to:

  • Provide your viewers any privacy notice your jurisdiction requires, and obtain any consent required for collecting and processing their data (for example chat logs, loyalty, and watch-time).
  • Configure and use chatbot, moderation, AI, and TTS features responsibly and in compliance with Twitch's rules and applicable law.
  • Not use the Service to harass, defame, or harm others, or to display unlawful content.

5. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any platform's rules.
  • Reverse engineer, scrape, overload, or attempt to gain unauthorized access to the Service or its infrastructure.
  • Resell, sublicense, or commercially exploit the Service except as expressly permitted.
  • Interfere with or disrupt the Service, or circumvent any usage limits, rate limits, or security measures.
  • Use the Service to send spam or to abuse third-party APIs we integrate with.

We may suspend or terminate accounts that violate these Terms or that create risk or legal exposure for us or other users.

6. Tips and payments

OverlayThing lets you receive tips from your viewers through your own connected PayPal account.

  • Tips are transactions between you and your viewers, processed by PayPal under PayPal's terms. OverlayThing is not a party to those transactions and is not a payment processor, money transmitter, or escrow.
  • You are responsible for any taxes, fees, refunds, chargebacks, and disputes arising from tips you receive.

OverlayThing itself is currently free to use and in beta. We do not charge subscription or usage fees for the Service. If that changes, we will update these Terms with billing, renewal, refund, and cancellation terms before charging you.

7. Third-party services and integrations

The Service integrates with third parties including Twitch, PayPal, Fourthwall, Riot Games, ElevenLabs, Amazon Web Services, OpenAI, and Cerebras. Your use of those integrations is also governed by the relevant third party's terms. We are not responsible for third-party services, and their availability is outside our control.

8. AI features

Optional AI features generate output based on input you provide. AI output may be inaccurate or unexpected. You are responsible for reviewing AI-generated content before relying on or publishing it. Do not submit content to AI features that you are not permitted to share.

9. Intellectual property

The Service, including its software, design, and branding, is owned by OverlayThing and its licensors and is protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the Service. We reserve all rights not expressly granted.

10. Availability, changes, and beta features

  • The Service is provided on an "as available" basis. We may modify, suspend, or discontinue features at any time.
  • Some features may be offered as beta or experimental and may be changed or removed without notice. They may be less stable than generally available features.
  • We do not guarantee any specific level of uptime unless separately agreed in writing.

11. Termination

  • You may stop using the Service at any time and may delete your account from your account panel (see the Privacy Policy).
  • We may suspend or terminate your access if you breach these Terms, create risk or legal exposure, or if we discontinue the Service.
  • Sections that by their nature should survive termination will survive, including ownership, disclaimers, limitation of liability, and indemnification.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DATA WILL NOT BE LOST.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OVERLAYTHING AND ITS OWNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF CAD 100 OR THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM (THE SERVICE IS CURRENTLY FREE, SO THIS AMOUNT IS TYPICALLY ZERO). Some jurisdictions do not allow these limits, so they may not fully apply to you.

14. Indemnification

You agree to indemnify and hold harmless OverlayThing and its owners from claims, damages, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, your violation of these Terms, or your violation of any law or the rights of a third party, including your viewers.

15. Governing law and disputes

These Terms are governed by the laws of Canada, without regard to its conflict-of-laws rules. The courts of Canada will have jurisdiction over disputes, unless mandatory local law provides otherwise. Before bringing a formal claim, you agree to first contact us at [email protected] so we can try to resolve the matter informally.

16. Changes to these Terms

We may update these Terms. When changes are material, we will update the effective date and, where appropriate, notify you. Continued use of the Service after changes take effect means you accept the revised Terms.
